The service and your agreement

These Terms & Conditions govern use of Work & Pay, operated by Urbano Technologies Ltd, Ghana, registration number CS088470426. By using the service, you agree to these terms. The Privacy Policy explains how personal information is handled.

Work & Pay provides software for vehicle work-and-pay and hire-purchase operations. Your signed vehicle agreement contains the applicable price, deposit, payment frequency, fees, maintenance responsibilities and ownership-transfer conditions. These platform terms do not replace that agreement or change it through an app screen.

The platform does not represent itself as a lender, a bank or a government vehicle registry. These terms make no claim that Urbano holds a payment-service-provider licence. Supported payment processing is provided through Paystack.

Accounts, eligibility and authority

You must be at least 18 and legally able to enter the relevant agreement. Provide accurate identity, contact, address and vehicle information, keep it current, and protect your account. Do not share credentials, impersonate another person, interfere with the service or submit documents you are not authorised to use.

An owner must have the authority to offer the vehicle and enter the agreement. A driver must meet the agreement's and applicable law's driving and eligibility requirements. Fleet managers and representatives may act only within their actual authority. Identity verification or access to an account does not by itself prove vehicle title, driving entitlement or authority to bind someone else.

Verification, documents and signatures

Identity checks use Identified's hosted verification process. Some checks may be pending or require human review or additional information. Do not treat a pending result as approval. Features that require completed verification may remain unavailable until the relevant requirements are met.

Read the complete agreement and schedules before signing. Uploaded documents, signatures, handover evidence and messages form part of the recorded workflow. Submit truthful material and respect other people's privacy. A document's presence in the app does not guarantee that it is valid for every legal or government purpose.

Payments, balances and confirmations

Agreement amounts and balances are shown in Ghana cedis, with pesewas as the smallest unit. Payment instructions may use supported mobile money, cards or bank flows through Paystack. Applicable fees and the total amount for each action will be disclosed before you confirm it; your signed agreement specifies the agreed charges.

A checkout page, payment attempt or pending reference is not a settled payment. Work & Pay records a successful payment only after the required confirmation and matching of the reference, amount and currency. Confirmed agreement payments are applied to the agreement schedule and recorded in the financial history.

If a request is interrupted or its outcome is uncertain, check the saved reference or pending action before starting another. Do not assume that an unanswered request failed. Report an incorrect, duplicate or unauthorised transaction promptly, with its reference. Any refund or correction depends on the actual transaction, applicable provider processes, the agreement and law; it is not created by changing a screen label.

Funded wallet and optional automatic payments

A driver wallet records confirmed funds available for supported wallet actions. A top-up is credited after Paystack confirmation; a pending top-up is not spendable. A funded-wallet agreement payment can use only the available balance. There is no wallet overdraft through this feature.

Automatic payment is optional and requires explicit consent for the relevant agreement. When enabled, due installments may be paid from available wallet funds. You can revoke this consent by disabling automatic payments. A payment already completed before revocation remains recorded. Insufficient funds leave the installment unpaid; enabling this feature does not authorise recurring charges to an external card or mobile-money account.

Turning off automatic payment, withdrawing funds or closing an account does not cancel a payment obligation under a signed agreement. The wallet feature does not promise interest, investment returns or deposit insurance.

Withdrawals and payout destinations

Withdrawals use your saved bank or mobile-money destination. New payout destinations have a 24-hour security cooldown. Confirm that the stored account details belong to the intended recipient before submitting a request.

Funds can be reserved while a payout is processing or its provider outcome is uncertain; reserved funds are excluded from the available balance. A pending transfer is not a confirmed payout. A confirmed failure or reversal can return reserved funds according to the recorded transfer lifecycle. Provider processing times, outages and verification requirements can affect availability. Check the existing withdrawal rather than submitting another instruction for the same uncertain transfer.

Arrears, notices and lawful enforcement

Missed payments are calculated from the agreement's payment schedule and confirmed payments. If the platform's default workflow is initiated, it records the arrears and formal notice process. Its cure workflow provides a minimum six-day period from recorded confirmed notice service; it must not authorise immediate repossession during that period.

The end of an app countdown does not itself authorise repossession. Any longer period, lawful service requirements, hire-purchase protections, court-order requirements and other mandatory procedures take precedence. An in-app record or delivery-provider status does not alone settle whether legal service requirements have been met. Any enforcement must have an independently established lawful basis.

Raise an error in a notice or balance promptly. A cure requires the relevant overdue balance to be settled, not merely a pending payment attempt. Owners and drivers must follow applicable law and their agreement; no platform function grants a right to use force or bypass a court or regulator.

Vehicle handover and official ownership transfer

Handover, maintenance, insurance, use of the vehicle and transfer obligations are governed by the signed agreement and applicable law. Report relevant issues and upload evidence accurately.

Financial completion and an application-generated completion package record the platform's confirmed evidence. They do not replace official DVLA ownership registration, required government documents or other legal transfer steps. Those requirements must be completed separately. A platform acknowledgement alone is not a government registration decision.

Messages, disputes and support

Use the agreement's message and dispute features, or the contact details below, to raise a concern. Include the agreement or transaction reference and relevant facts. Do not send account passwords, card security codes or unnecessary identity documents by ordinary email.

Platform support may help the parties exchange information or seek a voluntary resolution. It does not issue a court judgment or impose binding arbitration through these terms. A lawful settlement depends on the parties' agreement and applicable law. You retain access to competent courts, regulators and other remedies available to you.

Availability, account restrictions and responsibility

Service availability can be affected by maintenance, connectivity, device limitations and third-party providers. Important transactions may remain pending until their outcome can be established. Keep your own accessible copies of essential agreements and receipts and report problems through support.

We may restrict access where reasonably necessary for security, suspected misuse or a legal requirement, with an explanation where lawful and practicable. Stopping use or asking to close an account does not erase an outstanding agreement, confirmed balance or a lawful record-retention requirement.

Each party remains responsible for its lawful instructions, representations and agreement obligations. Nothing in these terms excludes responsibility that cannot lawfully be excluded, removes mandatory consumer or data-protection rights, or authorises the forfeiture of funds merely because access is restricted.

Applicable law and changes

Ghanaian law applies to use of Work & Pay in Ghana, subject to any mandatory law or forum rights that apply to your circumstances. Material platform-term changes will be communicated through an appropriate channel, with an updated effective date. They do not retrospectively rewrite a signed vehicle agreement or create a new payment authorisation.
